N\u00e1sleduj\u00edc\u00ed v\u0161eobecn\u00e9 obchodn\u00ed podm\u00ednky se vztahuj\u00ed na v\u0161echny smlouvy mezi StudyAds a z\u00e1kazn\u00edky t\u00fdkaj\u00edc\u00ed se zve\u0159ejn\u011bn\u00ed firemn\u00edch profil\u016f v online datab\u00e1zi StudyAds.<\/p>\n\n<p><strong>1.2.<\/strong>  Jak\u00e9koli protich\u016fdn\u00e9 podm\u00ednky z\u00e1kazn\u00edka se neuplatn\u00ed, pokud s nimi StudyAds v\u00fdslovn\u011b nesouhlas\u00ed.<\/p>\n\n<p><strong>\u00a72 P\u0159edm\u011bt smlouvy<\/strong><\/p>\n\n<p><strong>2.1.<\/strong>  StudyAds nab\u00edz\u00ed datab\u00e1zi firemn\u00edch profil\u016f poskytovatel\u016f slu\u017eeb v oblasti lidsk\u00fdch zdroj\u016f a ud\u00e1lost\u00ed v oblasti lidsk\u00fdch zdroj\u016f na adrese www.HRtalk.de. Z\u00e1kazn\u00edci mohou za poplatek zadat profil spole\u010dnosti do datab\u00e1ze. Datab\u00e1zi mohou n\u00e1v\u0161t\u011bvn\u00edci webov\u00fdch str\u00e1nek vyu\u017e\u00edvat k vyhled\u00e1v\u00e1n\u00ed poskytovatel\u016f slu\u017eeb. Firemn\u00ed profily obsahuj\u00ed mo\u017enosti p\u0159\u00edm\u00e9ho kontaktu (telefonn\u00ed \u010d\u00edslo, e-mail), tak\u017ee n\u00e1v\u0161t\u011bvn\u00edci webov\u00fdch str\u00e1nek mohou z\u00e1kazn\u00edky kontaktovat p\u0159\u00edmo. Krom\u011b toho lze profily firem propojit s webov\u00fdmi str\u00e1nkami klienta.<\/p>\n\n<p><strong>2.2.<\/strong>  Slu\u017eba StudyAds spo\u010d\u00edv\u00e1 ve zve\u0159ejn\u011bn\u00ed profilu spole\u010dnosti. Jedn\u00e1 se tedy o reklamn\u00ed smlouvu. StudyAds neprov\u011b\u0159uje kvalifikaci n\u00e1v\u0161t\u011bvn\u00edk\u016f webov\u00fdch str\u00e1nek ani jejich dotazy. StudyAds nen\u00ed ani agentem, ani zprost\u0159edkovatelem pro z\u00e1kazn\u00edky.<\/p>\n\n<p><strong>2.3.<\/strong>  StudyAds nedlu\u017e\u00ed \u017e\u00e1dn\u00fd reklamn\u00ed \u00fasp\u011bch nad r\u00e1mec zve\u0159ejn\u011bn\u00ed profilu spole\u010dnosti. StudyAds s HRtalk.de zejm\u00e9na nezavazuje k minim\u00e1ln\u00edmu po\u010dtu m\u011bs\u00ed\u010dn\u00edch n\u00e1v\u0161t\u011bvn\u00edk\u016f webov\u00fdch str\u00e1nek, zobrazen\u00ed profilu spole\u010dnosti nebo kontaktn\u00edch dotaz\u016f.<\/p>\n\n<p><strong>2.4.<\/strong>  Za\u0159azen\u00ed profilu spole\u010dnosti do datab\u00e1ze HRtalk nen\u00ed exkluzivn\u00ed. StudyAds\/Hrtalk.de m\u016f\u017ee bez jak\u00e9hokoli omezen\u00ed zahrnout a zve\u0159ejnit v datab\u00e1zi firemn\u00ed profily konkurent\u016f tak\u00e9 ve stejn\u00e9 lokalit\u011b p\u0159\u00edslu\u0161n\u00e9ho z\u00e1kazn\u00edka.<\/p>\n\n<p><strong>\u00a73 Uzav\u0159en\u00ed smlouvy<\/strong><\/p>\n\n<p><strong>3.1.<\/strong>  Zve\u0159ejn\u011bn\u00ed firemn\u00edch profil\u016f z\u00e1kazn\u00edkem vy\u017eaduje registraci s u\u017eivatelsk\u00fdm \u00fa\u010dtem a zakoupen\u00ed reklamn\u00edho bal\u00ed\u010dku.  <\/p>\n\n<p><strong>3.2.<\/strong>  Smlouva se uzav\u00edr\u00e1 elektronicky. Po v\u00fdb\u011bru jednoho z nab\u00edzen\u00fdch reklamn\u00edch bal\u00ed\u010dk\u016f z\u00e1kazn\u00edk ode\u0161le z\u00e1vaznou nab\u00eddku kliknut\u00edm na tla\u010d\u00edtko &#8220;Objednat s n\u00e1klady&#8221;, kterou m\u016f\u017ee StudyAds p\u0159ijmout. Akceptace prob\u00edh\u00e1 prost\u0159ednictv\u00edm potvrzen\u00ed objedn\u00e1vky nebo aktivac\u00ed profilu spole\u010dnosti v datab\u00e1zi.<\/p>\n\n<p><strong>\u00a74 Ceny a platebn\u00ed podm\u00ednky<\/strong><\/p>\n\n<p><strong>4.1.<\/strong>  Ceny a platebn\u00ed podm\u00ednky vypl\u00fdvaj\u00ed z popisu p\u0159\u00edslu\u0161n\u00e9ho reklamn\u00edho bal\u00ed\u010dku. Ceny jsou v\u017edy netto a podl\u00e9haj\u00ed z\u00e1konn\u00e9 dani z p\u0159idan\u00e9 hodnoty.<\/p>\n\n<p><strong>4.2.<\/strong>  Z\u00e1kazn\u00edk je povinen uhradit z\u00e1lohu na zvolen\u00e9 smluvn\u00ed obdob\u00ed, pokud nen\u00ed v popisu reklamn\u00edho bal\u00ed\u010dku uvedeno jinak. Zve\u0159ejn\u011bn\u00ed profilu spole\u010dnosti prob\u011bhne po obdr\u017een\u00ed platby. Pokud nedojde k \u00fahrad\u011b do sedmi pracovn\u00edch dn\u016f od uzav\u0159en\u00ed smlouvy, je StudyAds opr\u00e1vn\u011bna odstoupit od smlouvy po ne\u00fasp\u011b\u0161n\u00e9m stanoven\u00ed p\u0159im\u011b\u0159en\u00e9 lh\u016fty.<\/p>\n\n<p><strong>4.3.<\/strong>  Pokud StudyAds poskytne z\u00e1kazn\u00edkovi bezplatn\u00e9 zku\u0161ebn\u00ed obdob\u00ed, z\u00e1kazn\u00edk nen\u00ed povinen platit za toto zku\u0161ebn\u00ed obdob\u00ed \u017e\u00e1dn\u00fd poplatek. Za p\u0159edpokladu, \u017ee zku\u0161ebn\u00ed f\u00e1ze nem\u00e1 pevn\u011b stanoven\u00e9 datum ukon\u010den\u00ed, m\u016f\u017ee b\u00fdt zku\u0161ebn\u00ed f\u00e1ze kdykoli ukon\u010dena kteroukoli smluvn\u00ed stranou.<\/p>\n\n<p><strong>\u00a75 Pr\u00e1va a povinnosti StudyAds<\/strong><\/p>\n\n<p><strong>5.1.<\/strong>  StudyAds je povinna po dobu trv\u00e1n\u00ed smlouvy zp\u0159\u00edstupnit ve\u0159ejn\u011b firemn\u00ed profil z\u00e1kazn\u00edka a zajistit, aby byl k nalezen\u00ed v datab\u00e1zi. D\u016fkaz o zve\u0159ejn\u011bn\u00ed lze poskytnout pomoc\u00ed v\u00fdtisk\u016f obrazovky nebo reprodukc\u00ed datovan\u00fdch a \u010dasov\u011b ozna\u010den\u00fdch soubor\u016f z intern\u00edho syst\u00e9mu StudyAds.<\/p>\n\n<p><strong>5.2.<\/strong>  Pokud p\u0159\u00edslu\u0161n\u00fd reklamn\u00ed bal\u00ed\u010dek poskytuje dodate\u010dn\u00e9 slu\u017eby (nap\u0159. konkr\u00e9tn\u00ed um\u00edst\u011bn\u00ed v seznamu v\u00fdsledk\u016f), StudyAds se zavazuje poskytnout p\u0159\u00edslu\u0161nou dodate\u010dnou slu\u017ebu v rozsahu popisu slu\u017eby.<\/p>\n\n<p><strong>5.3.<\/strong>  StudyAds je opr\u00e1vn\u011bna zobrazovat reklamy t\u0159et\u00edch stran na str\u00e1nk\u00e1ch s firemn\u00edmi profily.<\/p>\n\n<p><strong>5.4.<\/strong>  StudyAds je opr\u00e1vn\u011bna zm\u011bnit design u\u017eivatelsk\u00e9ho rozhran\u00ed, p\u0159idat nebo odebrat funkce nebo zm\u011bnit prezentaci firemn\u00edch profil\u016f. V p\u0159\u00edpad\u011b v\u00fdznamn\u00fdch zm\u011bn m\u00e1 z\u00e1kazn\u00edk pr\u00e1vo na mimo\u0159\u00e1dn\u00e9 ukon\u010den\u00ed smlouvy. To mus\u00ed b\u00fdt provedeno do 14 pracovn\u00edch dn\u016f od ozn\u00e1men\u00ed zm\u011bny, jinak se zm\u011bna pova\u017euje za schv\u00e1lenou.<\/p>\n\n<p><strong>\u00a76 Pr\u00e1va a povinnosti z\u00e1kazn\u00edka<\/strong><\/p>\n\n<p><strong>6.1.<\/strong>  Z\u00e1kazn\u00edk je opr\u00e1vn\u011bn kdykoli zm\u011bnit nebo deaktivovat sv\u016fj firemn\u00ed profil. Deaktivace nezbavuje z\u00e1kazn\u00edka povinnosti zaplatit dohodnut\u00fd poplatek za zb\u00fdvaj\u00edc\u00ed obdob\u00ed.<\/p>\n\n<p><strong>6.2.<\/strong>  Z\u00e1kazn\u00edk se zavazuje v\u016f\u010di StudyAds udr\u017eovat \u00fadaje v profilu spole\u010dnosti aktu\u00e1ln\u00ed. Informace mus\u00ed b\u00fdt p\u0159esn\u00e9 a nesm\u00ed uv\u00e1d\u011bt \u017eadatele v omyl. Informace nesm\u00ed poru\u0161ovat z\u00e1konn\u00e9 nebo \u00fa\u0159edn\u00ed z\u00e1kazy ani ur\u00e1\u017eet dobr\u00e9 mravy. V p\u0159\u00edpad\u011b poru\u0161en\u00ed je StudyAds opr\u00e1vn\u011bna smazat \u00fadaje, zablokovat u\u017eivatelsk\u00fd \u00fa\u010det a vypov\u011bd\u011bt reklamn\u00ed smlouvu bez p\u0159edchoz\u00edho upozorn\u011bn\u00ed.<\/p>\n\n<p><strong>6.3.<\/strong>  Po dobu trv\u00e1n\u00ed smlouvy ud\u011bluje z\u00e1kazn\u00edk StudyAds pot\u0159ebn\u00e1 pr\u00e1va k u\u017e\u00edv\u00e1n\u00ed obsahu firemn\u00edho profilu (obr\u00e1zky, text, logo atd.) za \u00fa\u010delem dosa\u017een\u00ed \u00fa\u010delu smlouvy. To zahrnuje tak\u00e9 propojen\u00ed nebo vlo\u017een\u00ed obsahu na webov\u00e9 str\u00e1nky t\u0159et\u00edch stran.<\/p>\n\n<p><strong>6.4.<\/strong>  Z\u00e1kazn\u00edk uji\u0161\u0165uje StudyAds, \u017ee zve\u0159ejn\u011bn\u00edm nebo pou\u017e\u00edv\u00e1n\u00edm profil\u016f spole\u010dnosti neporu\u0161uje \u017e\u00e1dn\u00e1 pr\u00e1va t\u0159et\u00edch stran, a od\u0161kod\u0148uje StudyAds za ve\u0161ker\u00e9 n\u00e1roky t\u0159et\u00edch stran. Pokud t\u0159et\u00ed strana tvrd\u00ed, \u017ee do\u0161lo k poru\u0161en\u00ed pr\u00e1v, je StudyAds opr\u00e1vn\u011bna do\u010dasn\u011b zablokovat profil spole\u010dnosti, dokud nebude pr\u00e1vn\u00ed situace vyjasn\u011bna. V p\u0159\u00edpad\u011b prok\u00e1zan\u00e9ho poru\u0161en\u00ed pr\u00e1v t\u0159et\u00edch stran je StudyAds opr\u00e1vn\u011bna smazat u\u017eivatelsk\u00fd \u00fa\u010det a zru\u0161it jej bez p\u0159edchoz\u00edho upozorn\u011bn\u00ed. Pr\u00e1vo na n\u00e1hradu \u0161kody z\u016fst\u00e1v\u00e1 vyhrazeno.<\/p>\n\n<p><strong>\u00a77 Doba trv\u00e1n\u00ed smlouvy<\/strong><\/p>\n\n<p><strong>7.1.<\/strong>  Minim\u00e1ln\u00ed smluvn\u00ed lh\u016fta vypl\u00fdv\u00e1 z popisu p\u0159\u00edslu\u0161n\u00e9ho reklamn\u00edho bal\u00ed\u010dku. Doba trv\u00e1n\u00ed smlouvy se automaticky prodlu\u017euje o dobu p\u016fvodn\u00edho trv\u00e1n\u00ed nebo o dobu prodlou\u017een\u00ed, pokud \u017e\u00e1dn\u00e1 ze smluvn\u00edch stran smlouvu neukon\u010d\u00ed p\u0159ed koncem p\u016fvodn\u00edho trv\u00e1n\u00ed nebo p\u0159ed koncem prodlou\u017een\u00ed.<\/p>\n\n<p><strong>7.2.<\/strong>  K p\u0159ed\u010dasn\u00e9mu ukon\u010den\u00ed pracovn\u00edho pom\u011bru m\u016f\u017ee doj\u00edt pouze z dobr\u00e9ho d\u016fvodu. O z\u00e1va\u017en\u00fd d\u016fvod se jedn\u00e1, pokud smluvn\u00ed strana poru\u0161\u00ed sv\u00e9 povinnosti zvl\u00e1\u0161\u0165 hrub\u00fdm zp\u016fsobem.<\/p>\n\n<p><strong>7.3.<\/strong>  StudyAds nen\u00ed povinna uchov\u00e1vat ani jinak uchov\u00e1vat \u00fadaje a obsah firemn\u00edch profil\u016f po ukon\u010den\u00ed smlouvy.<\/p>\n\n<p><strong>\u00a7 8 Z\u00e1ruka<\/strong><\/p>\n\n<p><strong>8.1.<\/strong>  Pokud StudyAds \u0159\u00e1dn\u011b nepln\u00ed sv\u00e9 smluvn\u00ed povinnosti, je z\u00e1kazn\u00edk opr\u00e1vn\u011bn po\u017eadovat dodate\u010dn\u00e9 pln\u011bn\u00ed. V p\u0159\u00edpad\u011b ne\u00fasp\u011b\u0161n\u00e9ho n\u00e1sledn\u00e9ho pln\u011bn\u00ed m\u016f\u017ee z\u00e1kazn\u00edk odm\u011bnu pom\u011brn\u011b sn\u00ed\u017eit a po ne\u00fasp\u011b\u0161n\u00e9m upozorn\u011bn\u00ed smlouvu vypov\u011bd\u011bt bez v\u00fdpov\u011bdn\u00ed doby. V\u00fdpov\u011b\u010f je vylou\u010dena, pokud je poru\u0161en\u00ed povinnost\u00ed ze strany StudyAds nepodstatn\u00e9. V takov\u00e9m p\u0159\u00edpad\u011b m\u00e1 z\u00e1kazn\u00edk n\u00e1rok pouze na pom\u011brn\u00e9 sn\u00ed\u017een\u00ed sjednan\u00e9 odm\u011bny.<\/p>\n\n<p><strong>8.2.<\/strong>  StudyAds je povinna udr\u017eovat dostupnost sv\u00fdch technick\u00fdch syst\u00e9m\u016f po celou dobu trv\u00e1n\u00ed smlouvy. Neomezen\u00e1 dostupnost nen\u00ed zaru\u010dena. Dostupnost se vztahuje k p\u0159enosov\u00e9mu bodu mezi datov\u00fdm centrem pou\u017e\u00edvan\u00fdm StudyAds a ve\u0159ejn\u00fdm internetem. Zhor\u0161en\u00ed p\u0159enosu dat a\u017e do m\u00edsta p\u0159enosu nesni\u017euje dostupnost. V p\u0159\u00edpad\u011b nedostupnosti m\u00e1 z\u00e1kazn\u00edk n\u00e1rok na pom\u011brn\u00e9 sn\u00ed\u017een\u00ed poplatku, pokud je o tom StudyAds neprodlen\u011b informov\u00e1n. N\u00e1roky na n\u00e1hradu \u0161kody ze strany z\u00e1kazn\u00edka vy\u017eaduj\u00ed zavin\u011bn\u00ed ze strany StudyAds.<\/p>\n\n<p><strong>\u00a79 Odpov\u011bdnost<\/strong><\/p>\n\n<p><strong>9.1.<\/strong>  Odpov\u011bdnost smluvn\u00edch stran se \u0159\u00edd\u00ed z\u00e1konn\u00fdmi ustanoven\u00edmi, nen\u00ed-li d\u00e1le stanoveno jinak.<\/p>\n\n<p><strong>9.2.<\/strong>  Smluvn\u00ed strany odpov\u00eddaj\u00ed za \u0161kodu na zdrav\u00ed bez omezen\u00ed. V p\u0159\u00edpad\u011b finan\u010dn\u00edch ztr\u00e1t zp\u016fsoben\u00fdch poru\u0161en\u00edm podstatn\u00fdch smluvn\u00edch povinnost\u00ed je odpov\u011bdnost omezena na v\u00fd\u0161i p\u0159edv\u00eddateln\u00e9 \u0161kody typick\u00e9 pro danou smlouvu. Odpov\u011bdnost za lehce nedbalostn\u00ed poru\u0161en\u00ed mimosmluvn\u00edch povinnost\u00ed je vylou\u010dena.<\/p>\n\n<p><strong>9.3.<\/strong>  Pokud ke vzniku \u0161kody p\u0159isp\u011blo zavin\u011bn\u00ed na stran\u011b z\u00e1kazn\u00edka, z\u00e1vis\u00ed povinnost k n\u00e1hrad\u011b \u0161kody, jako\u017e i rozsah n\u00e1hrady \u0161kody, kter\u00e1 m\u00e1 b\u00fdt vyplacena, na okolnostech, zejm\u00e9na na tom, do jak\u00e9 m\u00edry byla \u0161koda p\u0159ev\u00e1\u017en\u011b zp\u016fsobena spole\u010dnost\u00ed StudyAds nebo z\u00e1kazn\u00edkem. To plat\u00ed i v p\u0159\u00edpad\u011b, \u017ee se zavin\u011bn\u00ed z\u00e1kazn\u00edka omezuje na skute\u010dnost, \u017ee z\u00e1kazn\u00edk neupozornil StudyAds na riziko neobvykle vysok\u00e9 \u0161kody, o kter\u00e9m StudyAds nev\u011bd\u011bla ani v\u011bd\u011bt nem\u011bla, nebo \u017ee z\u00e1kazn\u00edk \u0161kodu neodvr\u00e1til nebo nezm\u00edrnil.<\/p>\n\n<p><strong>\u00a710 V\u00fdhrada pr\u00e1va na zm\u011bnu<\/strong><\/p>\n\n<p><strong>10.1.  <\/strong>StudyAds si vyhrazuje pr\u00e1vo tyto VOP kdykoli zm\u011bnit, pokud je to nutn\u00e9 z opr\u00e1vn\u011bn\u00fdch d\u016fvod\u016f, zejm\u00e9na z d\u016fvodu zm\u011bny pr\u00e1vn\u00ed situace nebo jurisdikce, technick\u00fdch zm\u011bn nebo dal\u0161\u00edho v\u00fdvoje, efektivn\u00edho zpracov\u00e1n\u00ed hromadn\u00e9ho provozu, regula\u010dn\u00edch mezer v t\u011bchto VOP, zm\u011bn\u011bn\u00e9 nab\u00eddky produkt\u016f nebo z jin\u00fdch rovnocenn\u00fdch d\u016fvod\u016f, a pokud tyto zm\u011bny nep\u0159im\u011b\u0159en\u011b neznev\u00fdhod\u0148uj\u00ed z\u00e1kazn\u00edka.<\/p>\n\n<p><strong>10.2.  <\/strong>O zm\u011bn\u00e1ch VOP bude z\u00e1kazn\u00edk informov\u00e1n e-mailem nejm\u00e9n\u011b \u0161est t\u00fddn\u016f p\u0159ed jejich vstupem v platnost. Zm\u011bny vstoup\u00ed v platnost, pokud z\u00e1kazn\u00edk v t\u00e9to lh\u016ft\u011b nevznese p\u00edsemn\u011b nebo e-mailem n\u00e1mitku a StudyAds jej v ozn\u00e1men\u00ed o zm\u011bn\u011b informovala o pr\u00e1vn\u00edch d\u016fsledc\u00edch nevznesen\u00ed n\u00e1mitky.
